NGO Registration in Gurgaon

NGO in Gurgaon can be registered either as a Society, Trust or Section 8 Company. The purpose of all the three types of NGO is same i.e to carry on the activities in the nature of charitable, social welfare, non-profit etc. 

Meaning of NGO

 

NGO stands for non-governmental organization. While there is no universally agreed-upon definition of an NGO, typically it is a voluntary group or institution with a social mission, which operates independently from the government.

NGOs or similar organizations exist in all parts of the world. What is considered an NGO in one country may not qualify as an NGO in another, as legal definitions, permitted activities, monitoring, and oversight differ from country to country. The term can encompass many types of organizations. Now lets understand the different Acts under which an NGO can be registered in Gurgaon.

NGO Registration in Gurgaon as Section 8 Company

Formulation of companies with charitable objects, etc.—

— (1) Where it is proved to the satisfaction of the Central Government that a person or an association of persons proposed to be registered under this Act as a limited company—
(a) has in its objects the promotion of commerce, art, science, sports, education, research, social welfare, religion, charity, protection of environment or any such other object;
(b) intends to apply its profits, if any, or other income in promoting its objects; and
(c) intends to prohibit the payment of any dividend to its members, the Central Government may, by licence issued in such manner as may be prescribed, and on such conditions as it deems fit, allow that person or association of persons to be registered as a limited
company under this section without the addition to its name of the word ―Limited‖, or as the case may be,
the words ―Private Limited‖ , and thereupon the Registrar shall, on application, in the prescribed form,
register such person or association of persons as a company under this section.

NGO Registration in Gurgaon under Haryana Registration and Regulation pf Societies Act, 2012

Section 9 states that:
(1) After scrutiny of the documents presented before the District Registrar, if he is satisfied that the applicant has complied with all the provisions of the Act and the rules as to registration, he shall enter the particulars of the Society registered, in a register maintained by him in physical or electronic form and issue a certificate of registration in the form and manner, as prescribed.

(2) If the District Registrar refuses to register a Society, he shall state the reasons therefor and communicate the same to the applicants.

(3) Every Society registered by the District Registrar shall be assigned a distinct registration number.

(4) Every existing Society shall apply in the prescribed proforma to the District Registrar for obtaining a new registration number within a period of one year or such further period, as may be notified by the Government. If the new number is not applied within one year then number shall be applied alongwith fee, as may be prescribed, within a period of six months and if the Society fails to move an application for new number within such extended period, the registration may be cancelled.

NGO Registration in Gurgaon under as a TRUST

Section 2(11) defines Public trust as:
Public trust” means an express or constructive trust for either a public, religious or chartable purpose or both and includes a temple, a math, dharmada or any other religious or charitable endowment or institution and a society formed either for a religious or charitable purpose or for both

 

 

Process for NGO Registration in Gurgaon under Companies Act as Section 8 Company

 

Following are the steps for NGO Registration which are needed to be followed

  • Step 1: Name Approval
    The first step in NGO Registration is to make an application to the Registrar of Companies for name approval of the NGO. 
    The name of the NGO under Companies Act can end with the following words:
    – Foundation
    – Council
    – Association for Research and advocacy
    – Association (Education Association etc)
    – Forum
    – Federation
    – Akhara
    – Club
    The list is only inclusive and not exclusive. Many other type of names can also be chosen.

    One can also proceed directly with the application of registration without getting the name approved. Though it is advisable to reserve the name of the company first instead of proceeding with the application without name approval which makes the entire process way more simple.

    Once the name approval application is made, it might take 2 working days for either its approval or resubmission, if the approval is granted then we can proceed further with the process but if the form comes for resubmission due to non-availaibility of the name then a new name is to requested for approval which might again take approximate 2 working days for approval. While waiting for the name approval, one can simply proceed with the step 2.

  • Step 2: Obtaining Digital Signatures of the proposed directors/promoters
    The second step for NGO Registration is to obtain digital signatures for all the proposed directors and promoters

  • Step 3: Filing of application using SPICe+
    Once the name is approved and Digital Signatures are prepared the next step for NGO Registration is to start with filing the application with SPICe+ form. In the form, all the required information along with documents are to be attached and provided.

  • Step 4: Memorandum of Association, Article of Association and Agile
    Once the SPICe+ is filled and relevent documents attached. Memorandum of Association, Article of Association and Agile form are to be prepared for NGO Registration.

  • Step 5: Affixing of Digital Signatures
    Once step 4 is complete, all the forms will then required to be downloaded for applying digital signatures of Directors and a Practicing CA in Gurgaon for NGO Registration.

  • Step 6: Form Upload and Registration of Company
    After step 5, the form needs to be uploaded with MCA. Once the form is uploaded, Registrar of companies go through the forms and if everything is in order then a Certificate of Incorporation along with PAN and TAN of company is issued or else the form is sent for resubmission with detailed reasons, the same then will need to be resubmitted resolving the queries of the officer.

Process for NGO Registration in Gurgaon as Trust

 
  1. Declaration of trust: Any person can declare trust with some property for the purpose of promotion of its objects. The person who declared trust is called settler
  2. Name of Trust: The name of the Trust must end with the word “trust”
  3. Address of the trust
  4. Trustee: the settlor will declare the name of the trustees who sell accept all the terms mention in the trusted and act as a trustee to the trust.
  5. Board of Trustees: the trustees will be known as board of trustees and will be designated as President, vice president, secretary and treasurer

Once the above mentioned things are settled, draft of trust deed will be prepared for the signatures of the settlor and trustees of the trust.

The trust deed should be on non judicial stamp paper of rupees 500 and shall further needs to be notarized.
